1. Scope of Services

ValleyTech LLC provides custom web design, software development, mobile application engineering, consulting, and artificial intelligence solutions. Each specific service engagement is governed by an independent statement of work (SOW) or service agreement between the client and ValleyTech LLC.

2. Billing, Payments & Invoices

Billing terms are outlined in individual project contracts.

• Online Payments: We facilitate payments through secure third-party checkout buttons powered by Stripe and mobile transfers via ATH Móvil.
• Currency: All payments are processed in USD ($) unless specified otherwise in writing.
• Deposits: Project kickoffs are subject to deposit clears. Custom software development deliverables are released upon final payment confirmation.

3. Intellectual Property Rights

Unless otherwise agreed upon in a written contract, ValleyTech LLC and/or its licensors own the intellectual property rights for all material, core software frameworks, and customized systems created during development until final project payment has been cleared. Upon full payment clearance, project-specific IP ownership is transferred to the Client as specified in the service contract.

4. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall ValleyTech LLC, nor any of its officers, directors, and employees, be liable to you for anything arising out of or in any way connected with your use of this website or our customized software solutions, whether such liability is under contract, tort, or otherwise.

5. Governing Law

These terms and conditions will be governed by and construed in accordance with the laws of the Commonwealth of Puerto Rico, United States, and you submit to the non-exclusive jurisdiction of the state and federal courts located in Puerto Rico for the resolution of any disputes.
